Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Spike On Site platform (“Platform”), operated by Spike On Site (“Spike”, “we”, “us”, or “our”). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use the Platform. By using the Platform, you represent and warrant that you meet these requirements.

2. Account Registration

To access the Platform, you must create an account. You agree to provide accurate, current, and complete information and to keep your account credentials confidential. You are responsible for all activity that occurs under your account. Notify us immediately at info@spikesos.com if you suspect unauthorized access.

3. Permitted Use

The Platform is provided for managing waste removal, junk removal, and related dispatch and billing operations. You agree to use the Platform only for its intended purposes and in compliance with all applicable laws. You must not:

  • Use the Platform for any unlawful or fraudulent purpose
  • Attempt to gain unauthorized access to any part of the Platform
  • Interfere with or disrupt the integrity or performance of the Platform
  • Reverse engineer, decompile, or disassemble any part of the Platform
  • Transmit any harmful, offensive, or infringing content
  • Use the Platform to collect or harvest data without authorization

4. User Roles and Access

The Platform supports multiple user roles including administrators, accounting staff, drivers, and customers. Access to features is determined by your assigned role. You are responsible for using only the features and data authorized for your role. Role assignments are managed by your organization's administrator.

5. Service Orders and Billing

All service orders placed through the Platform are subject to the pricing and terms agreed upon at the time of booking. Billing is processed through integrated payment and invoicing systems. You authorize us to charge applicable fees to your payment method on file. Disputes must be raised within 30 days of the invoice date by contacting info@spikesos.com.

6. SMS and Notifications

By providing your phone number, you consent to receive SMS messages related to your service activity, including job updates, dispatch notifications, and alerts. Standard message and data rates may apply. You may opt out at any time by contacting us or updating your notification preferences in the Platform.

7. Intellectual Property

All content, software, and materials on the Platform are owned by Spike On Site or its licensors and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Platform solely for its intended purposes. No rights are transferred to you except as expressly stated in these Terms.

8. Third-Party Integrations

The Platform integrates with third-party services including but not limited to QuickBooks, Google Maps, Google Calendar, Samsara, and Twilio. Your use of these integrations is subject to the respective third-party terms of service and privacy policies. We are not responsible for the availability or accuracy of third-party services.

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SPIKE ON SITE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID TO US IN THE PAST 12 MONTHS.

11. Indemnification

You agree to indemnify, defend, and hold harmless Spike On Site and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

12. Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason at our discretion. Upon termination, your right to access the Platform ceases immediately. Provisions that by their nature should survive termination will remain in effect.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the applicable jurisdiction, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the courts of competent jurisdiction in that territory.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by updating the effective date. Continued use of the Platform following changes constitutes your acceptance of the revised Terms.
